Welcome to Glow Flux Inc. (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and digital products. By signing a proposal, onboarding as a client, or using our website, you agree to be bound by these Terms.

1. Scope of Services

Glow Flux Inc. provides digital agency services, including but not limited to:

  • Flux Ads: Pay-Per-Click (PPC) and paid social media advertising management (Google Ads, Meta Ads).
  • Glow Sites: Conversion-focused website design and development.
  • Flux Care: Website hosting management, security, updates, and maintenance support.

Specific deliverables, timelines, and budgets will be outlined in a separate, signed Service Agreement or Project Proposal.

2. Client Responsibilities

To ensure successful project execution, the Client agrees to:

  • Provide timely access to necessary digital assets, including hosting panels, Google Analytics, ad accounts, copy, images, and branding assets.
  • Provide reviews, feedback, and approvals within the timelines specified in the project roadmap.
  • Note: Glow Flux Inc. is not liable for project delays resulting from a Client’s failure to provide access, materials, or approvals.

3. Fees, Billing, and Payments

  • Fixed Projects (Web Dev): Require a minimum 50% upfront deposit before work begins, with the remaining balance due upon website completion prior to launch.
  • Retainers (Ads & Management): Monthly recurring services are billed in advance on a rolling 30-day basis.
  • Late Payments: Work may be paused immediately if an invoice is overdue by more than 7 days. We reserve the right to suspend active ad campaigns or revoke live website access for non-payment.
  • Ad Spend: The Client pays the advertising networks (Google, Meta, etc.) directly for ad spend. Our fees strictly cover campaign management and strategy.

4. Intellectual Property

  • Our Tools: Glow Flux Inc. retains ownership of any proprietary methodologies, custom code modules, frameworks, or raw design templates used during development.
  • Your Asset: Upon final payment of all outstanding invoices, the Client receives full ownership of the completed website front-end, graphics, content, and the ad accounts managed during the partnership.

5. Termination and Cancellations

  • Project-Based Services: Either party may terminate a web development project with written notice. If cancelled, the Client will be billed proportionally for all hours and milestones completed up to the date of termination.
  • Monthly Retainers: Monthly marketing and management services require a 30-day written notice prior to the next billing cycle for cancellation. No refunds are provided for partial months.

6. Limitation of Liability and Warranties

  • No Guarantees: While we utilize data-driven strategies to maximize results, Glow Flux Inc. does not guarantee specific sales, lead volumes, or exact search engine rankings, as platform algorithms and market conditions fluctuate.
  • Third-Party Downtime: We are not responsible for revenue losses caused by platform outages (e.g., Google Ads or Facebook Ads downtime) or third-party hosting server failures.
  • Max Liability: To the maximum extent permitted by law, Glow Flux Inc.’s total liability for any claim arising out of our services is strictly limited to the amount paid by the Client to us during the 3 months prior to the claim.

7. Governing Law

These Terms and any dispute arising out of them shall be governed by and construed in accordance with the laws of the jurisdiction in which Glow Flux Inc. is registered, without regard to its conflict of law principles.
